Why Indonesia needs local due diligence

Due diligence on Indonesian companies is a local job

Indonesian company records are spread across several systems. The deed of establishment and its amendments, directors, commissioners and shareholders sit with the Directorate General of Legal Administration (AHU). Business licences sit in OSS under the company's NIB. Court cases are filed with each district court and tracked in its own case system (SIPP).

Nominee shareholders, family-held structures and companies that exist on paper but not at the stated address are common risks. Most of the useful media, court and regulatory material is in Bahasa Indonesia only.

Our Jakarta team works these sources directly and reports in English, so investors, buyers and compliance teams get a clear picture before they commit.

Frequently asked questions

What clients ask before engaging

What does due diligence in Indonesia include?

Legal existence and company records at AHU, directors, commissioners and shareholders, beneficial owners, licences under the company's NIB, litigation and bankruptcy cases, sanctions and adverse media, and, at Level 2, discreet reputation enquiries and site visits.

How do you find the real owner of an Indonesian company?

We start with the shareholder register and beneficial-owner filings at AHU, then follow related companies, family links and nominee arrangements through company records, court files, media and discreet enquiries.

How long does company due diligence in Indonesia take?

A Level 1 desktop review typically takes around 9 working days and a Level 2 review with human-source enquiries around three weeks, depending on scope and how many entities are involved.

Does the Indonesian company know we are checking it?

No. Due diligence enquiries are discreet and do not need the subject's consent or participation.

Do you visit the company's premises?

Where it matters, yes. Our Jakarta team confirms that the premises, operations and scale match what the company claims, in Greater Jakarta and other cities.

Is the report in English?

Yes. Sources are worked in Bahasa Indonesia and the report is written in English, with key documents and findings explained. A Bahasa Indonesia report is available on request.

Does this replace legal or financial due diligence?

No. It complements your lawyers and accountants by covering ownership, integrity and reputational risk that formal audits do not usually capture.

Can you check Indonesian individuals as well as companies?

Yes. Directors, shareholders and key people can be checked for litigation, sanctions, political exposure, other business interests and reputation.
